Terms and Conditions

  1. Parties, Definitions, and Interpretations In these terms and conditions (referred to as “these terms”):

  • Customer refers to the person for whom CENTRIL will perform the work.

  • CENTRIL refers to Centril Group or, if applicable, a franchisee operating under an AMSL Franchise Licence Agreement.

  • Contract refers to the agreement between the Customer and CENTRIL for completing the work, with these terms being part of the contract.

  • Works refer to the tasks described in CENTRIL's estimate or work detail sheet, subject to any written changes agreed upon by both parties.

  

In these terms, written communication includes emails or documents on handheld devices. A signature on a handheld screen is also considered "in writing." Terms using male pronouns include female and neutral pronouns where appropriate, and singular terms include plural where the context demands.

  1. General Provisions

  • 2.1 CENTRIL may classify the Customer as an Account or Non-Account Customer at its discretion.

  • 2.2 These terms govern all estimates, orders, instructions, and authorizations from CENTRIL. They override any other terms proposed by the Customer unless specified in a signed agreement.

  • 2.3 The Customer acknowledges that CENTRIL has made no other representations beyond those stated in the Contract or estimate.

  • 2.4 Any changes to the Contract must be explicitly agreed upon in writing or via email.

  • 2.5 This Contract does not confer rights to anyone other than the parties involved, as per the Contracts (Rights of Third Parties) Act 1999.

  1. Price, Estimates, and Variations

  • 3.1 Unless a written estimate is accepted by the Customer, all work will be billed according to CENTRIL's Rate Card at the time of service.

  • 3.2 CENTRIL’s estimates are valid for 28 days unless accepted by the Customer.

  • 3.3 Fixed-price estimates may change if:

    • Information provided by the Customer is incorrect or insufficient.

    • Costs of materials, equipment, or transport increase by more than 10% before the work starts.

  • 3.4 CENTRIL charges a £50+VAT collection fee for non-standard materials unless already included in the estimate. If difficult-to-source items require additional time, this will also be charged, unless the Customer supplies the item.

  • 3.5 The Rate Card specifies half-hour rates with a minimum charge of one hour, rounded up to the next half-hour.

  • 3.6 All prices and estimates exclude VAT unless stated otherwise.

  • 3.7 If a diagnostic process reveals faulty items that need replacement, the Customer will be charged for the replacement.

  • 3.8 CENTRIL may add up to a 30% mark-up on materials based on the trade discount received from suppliers.

  1. Payment and Ownership

  • 4.1 Non-Account Customers must pay upon work completion.

  • 4.2 Account Customers must pay within 30 days of the invoice date.

  • 4.3 In cases of snagging, 95% of the total must be paid upon completion, with the balance payable after snagging is finalised.

  • 4.4 If a third party represents the Customer and payment is not made, the third party may be liable for the payment.

  • 4.5 CENTRIL can charge interest on late payments (4% above the Bank of England rate) and collection charges if needed.

  • 4.6 CENTRIL will not provide certificates, guarantees, or other documentation until full payment is received.

  • 4.7 CENTRIL retains ownership of materials until full payment is made.

  1. Work Descriptions Descriptions in catalogs or advertisements are only general representations of the work and are not part of the Contract.

  2. Start and Completion Dates Scheduled start and end dates are estimates. CENTRIL will make reasonable efforts to meet these dates but is not liable for delays or non-attendance.

  3. Permits, Licenses, and Access

  • 7.1 The Customer is responsible for obtaining all necessary permits, licenses, and consents unless otherwise agreed.

  • 7.2 The Customer must provide a safe working environment and power and water for CENTRIL’s use.

  • 7.3 The Customer must ensure access to drainage plans where applicable.

  • 7.4 The Customer must remove fixtures and fittings in working areas. If not, CENTRIL may do so at the Customer's expense but will not be liable for damages caused during removal.

  1. Frozen Pipes CENTRIL is not responsible for fractures in frozen pipes or guaranteeing blockages in frozen pipes or drains.

  2. Waste Removal The Customer is responsible for removing waste materials unless agreed otherwise.

  3. Force Majeure CENTRIL is not liable for delays or inability to perform work due to events beyond its control, such as strikes or acts of God.

  4. Inspection and Complaints

  • 11.1 The Customer must inspect the work immediately upon completion and notify CENTRIL in writing of any issues within 7 days. Otherwise, the work is considered complete and defect-free.

  • 11.2 If the work is deemed defective, CENTRIL will inspect and, if necessary, correct the issue at no cost. If the Customer hires a third party before CENTRIL is allowed to address the issue, CENTRIL is not liable for any related costs.

  1. Defects

  • 12.1 CENTRIL will repair any defects arising from its work within 12 months, provided the issue is reported in writing and payment has been made in full.

  • 12.2 If CENTRIL finds no fault upon inspection, it may charge for the visit.

  • 12.3 CENTRIL does not cover defects in materials or parts that come with manufacturer warranties, misuse, or non-CENTRIL installations.

  1. CENTRIL’s Liability CENTRIL’s liability is limited to:

  • Repairing defects in line with paragraph 12.

  • Liability for injury or death caused by negligence.

  • Costs for property damage caused by negligence.

  1. Customer’s Liability The Customer is liable for losses resulting from delays or failure to fulfill their obligations and is responsible for CENTRIL’s equipment safety.

  2. Cancellation

  • 15.1 The Customer must indemnify CENTRIL for any losses resulting from unauthorized cancellations unless agreed otherwise in writing.

  • 15.2 A £50+VAT cancellation fee applies if the Customer cancels less than 2 hours before a scheduled appointment.

  • 15.3 For planned works over £1,000, the Customer has a 14-day cooling-off period, during which they may cancel without penalty.

  • 15.4 Cancellation charges apply for works cancelled within 14 days of the scheduled start date.

  1. Waiver and Changes CENTRIL’s failure to enforce any part of the Contract does not waive its rights. Variations must be in writing to be valid. Delays by CENTRIL do not affect its rights under the Contract.
